These Terms of Service (“Terms”) govern your use of the Convivo platform and services provided by NINO LLC, doing business as Convivo (“Convivo,” “we,” “us”). By using the service, you agree to these Terms.
Convivo provides restaurant websites, commission-free online ordering, self-serve kiosks, an AI phone agent and AI concierge, and related messaging features. Features available to you depend on your account settings.
You are responsible for the accuracy of your account information, for maintaining the confidentiality of your login, and for all activity under your account. You must be authorized to act on behalf of the business you register.
Convivo is offered on a pay-per-order basis: a flat platform fee applies to each order placed through your online ordering or AI phone agent, as shown in your account. Depending on your settings, this fee is added to the customer's total, absorbed by your restaurant (up to any monthly cap set on your account), or split between you and the customer. There is no monthly subscription for pay-per-order accounts, and you may stop using the service at any time. Certain optional services (for example, kiosk leasing) may carry separate fees disclosed to you in advance. Legacy monthly-subscription plans, where still in effect, are billed in advance on a recurring basis and may be canceled at any time, with access continuing through the end of the paid period.
Payment processing for your customers' orders is provided by Stripe; standard card-processing fees apply and payouts are made to your connected bank account.
If you enable messaging features, you agree to send messages only to recipients who have provided the required consent, to include required opt-out language in marketing messages, and to comply with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, carrier requirements (including A2P 10DLC), and all applicable laws. You are responsible for the content of messages you send to your customers through the platform.
You agree not to use Convivo to send unlawful, deceptive, harassing, or unsolicited messages; to infringe others' rights; or to interfere with the security or operation of the service.
You retain ownership of the content you provide (menus, photos, branding). You grant us a license to host and display that content to operate the service. Convivo retains all rights to the platform itself.
The service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, NINO LLC is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the fees you paid in the twelve months before the claim.
We may suspend or terminate access for violation of these Terms or applicable law. You may stop using the service at any time.
These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-laws rules.
We may update these Terms; continued use after changes take effect constitutes acceptance.
